Welcome to Callpad. These Terms of Service (the “Terms”) govern your access to and use of Callpad’s website, applications, AI receptionist services, and related features (together, the “Services”). The Services are provided by Callpad Inc., a Delaware corporation, and where applicable its operating subsidiary Callpad GmbH (HRB 284808 B, Berlin, Germany) (together, “Callpad,” “we,” “our,” or “us”).By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are using the Services through one of our software partners (for example, a salon management or point-of-sale platform), these Terms govern your use of the Callpad features, alongside the agreement you hold with that partner.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of a company or organization, you represent that you are authorized to bind that entity, and “you” refers to that entity.
2. Services Overview
Callpad provides AI-powered reception and booking services, including answering phone calls, handling SMS and messaging, scheduling and managing appointments, and related features. The Services may be offered directly or embedded within third-party salon and wellness software platforms.Because the Services rely on artificial intelligence, responses and actions are generated automatically and may occasionally be inaccurate or incomplete. The Services are designed to assist your business and are not a substitute for human judgment. You are responsible for reviewing and confirming bookings, messages, and other outputs where accuracy matters to your business.We may update, improve, or modify the Services at any time. Some features may be subject to additional terms, which we will present to you where applicable.
3. Accounts & Security
When creating an account, you must provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@callpad.ai if you suspect any unauthorized access or use.
4. Acceptable Use
You agree not to use the Services to:Violate any law, regulation, or third-party rights.Transmit spam, unsolicited marketing, or harmful, unlawful, or deceptive content.Collect, store, or process personal data of others without a lawful basis or required consent.Interfere with, disrupt, or place undue load on the integrity or performance of the Services.Reverse-engineer, decompile, copy, resell, or create derivative works from the Services without our authorization.Use the Services to train or develop a competing product or model.We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these rules.
5. Data & Privacy
Our Privacy Policy explains how we collect, use, and protect personal data, and forms part of these Terms. By using the Services, you agree to that policy.You retain ownership of your business data, customer information, and communications handled through the Services. You grant us a limited, non-exclusive license to process and store that data solely to provide, maintain, and improve the Services and as described in the Privacy Policy.Where we process personal data on your behalf and you are subject to the EU or UK General Data Protection Regulation (GDPR), our Data Processing Addendum (DPA) applies and supplements these Terms. You are responsible for ensuring you have a lawful basis to collect and share the personal data you route through the Services, including obtaining any required consents from your customers.
6. Third-Party Integrations
The Services may connect with third-party applications, such as calendars, booking systems, payment providers, and software partner platforms. By enabling an integration, you authorize us to access and process data as needed to deliver the Services. We are not responsible for the availability, security, or practices of third-party services, which are governed by their own terms.
7. Fees & Payment
Use of the Services may require payment of subscription fees as displayed at sign-up, in your account, or in a separate order or partner agreement.Fees are billed in advance on a recurring basis (monthly or annually), unless otherwise stated.Payments are processed by secure third-party providers. We do not store full payment card details.All fees are exclusive of taxes; you are responsible for applicable taxes, except those based on our net income.All fees are non-refundable except as required by law.We may change pricing with at least 30 days’ notice. Continued use after a price change takes effect constitutes acceptance.
8. Service Availability & Support
We aim to keep the Services available 24/7, but we do not guarantee uninterrupted or error-free access. We may perform maintenance, updates, or changes that temporarily affect availability, and will use reasonable efforts to limit disruption.Standard support is provided by email. Premium support and any specific service-level commitments may be available with certain plans or under a separate agreement.
9. Intellectual Property
All software, code, models, designs, trademarks, and content provided by Callpad are owned by or licensed to us. “Callpad,” the Callpad logo, and “Amy” are our trademarks. You may not copy, modify, distribute, or create derivative works from them without our prior written consent.You retain all rights to your business content, customer communications, and data processed through the Services. If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Services.
10. Termination
You may cancel your subscription or close your account at any time, subject to any minimum term in your order or partner agreement. We may suspend or terminate your account if you:Breach these Terms,Misuse the Services, orFail to pay fees when due.Upon termination, your right to access the Services will end. Sections that by their nature should survive (including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply. We will make your data available for export for a limited period after termination, after which we may delete it in line with the Privacy Policy.
11. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.We do not guarantee that the Services will meet your specific needs, be uninterrupted, secure, or error-free, or that AI-generated outputs will be accurate or complete. To the extent permitted by law, Callpad is not liable for missed calls, mishandled or lost bookings, or business losses arising from reliance on the Services.
12. Limitation of Liability
To the fullest extent permitted by law, Callpad will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount you paid us in the 12 months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You agree to indemnify and hold harmless Callpad, its affiliates, employees, and partners from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your infringement of third-party rights.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Mandatory consumer-protection or data-protection rights available to you under the laws of your country of residence are not affected by this clause.
15. Force Majeure
Callpad will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including outages of telecommunications or third-party providers, internet failures, power outages, natural disasters, or acts of government.
16. Assignment & Severability
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
